These Terms of Service govern your access to and use of the ODIS website and the purchase of products through our online store.

Throughout these Terms, “ODIS”, “we”, “us” and “our” refer to RESTATE2000, S.L.

By accessing our website, creating an account, placing an order or otherwise using our services, you agree to these Terms of Service and to any policies referenced herein, including our Privacy Policy, Shipping & Returns Policy and Refund Policy.

Nothing in these Terms limits any mandatory rights granted to consumers under applicable law.

1. ONLINE STORE

Our online store is hosted using Shopify, which provides the e-commerce infrastructure that enables us to offer and sell our products.

You may use our website only for lawful purposes and in accordance with these Terms.

You must not:

use the website for unlawful or fraudulent purposes;
interfere with the operation or security of the website;
attempt to gain unauthorized access to any part of the website;
transmit viruses, malware or other harmful code;
scrape, copy or exploit website content without authorization;
infringe the intellectual property rights of ODIS or third parties.

We reserve the right to suspend or restrict access to our website where reasonably necessary to protect ODIS, our customers or our systems.

2. ELIGIBILITY

By placing an order, you confirm that you have the legal capacity to enter into a binding contract.

If you are under the legal age required to enter into a contract in your country, you may only use the website under the supervision or authorization of a parent or legal guardian where permitted by law.

3. PRODUCTS

We make reasonable efforts to display our products, colors, materials, finishes and details as accurately as possible.

However, the appearance of colors and textures may vary slightly depending on:

your device;
screen settings;
lighting;
photography;
manufacturing variations.

Such minor differences do not necessarily constitute a product defect.

Product descriptions, specifications, availability and prices may be updated from time to time.

We may discontinue a product or modify its availability at any time.

4. PRODUCT AVAILABILITY

All orders are subject to product availability.

Adding a product to your cart does not reserve it.

In exceptional circumstances, a product may become unavailable after an order has been placed.

If we are unable to fulfil all or part of your order, we will contact you and refund any amount paid for the unavailable product.

5. PRICES

All prices displayed on the website are shown in the currency applicable to the selected market or region.

Prices may include or exclude taxes depending on the customer's location and applicable tax rules.

Shipping costs, duties, taxes or other applicable charges will be displayed where possible before the order is completed.

We reserve the right to change product prices at any time. Price changes will not affect orders already confirmed, except where an obvious pricing error has occurred and applicable law allows correction.

6. ORDERS

After placing an order, you will receive an order confirmation at the email address provided during checkout.

Receipt of an order confirmation does not necessarily mean that your order has been accepted if there is:

a payment authorization issue;
suspected fraud;
a stock error;
an obvious pricing or technical error;
a legal or regulatory restriction;
another legitimate reason preventing fulfilment.

We reserve the right to cancel or refuse an order in such circumstances, subject to applicable consumer law.

If payment has already been collected for an order that we cancel, the relevant amount will be refunded.

7. ORDER LIMITATIONS

We may limit quantities or refuse orders where we reasonably believe that an order:

is fraudulent;
is intended for unauthorized resale;
has been placed using false or misleading information;
creates an unusual security or operational risk.

Any such restriction will be applied in accordance with applicable law.

8. CUSTOMER INFORMATION

You are responsible for providing accurate and complete information when placing an order.

This includes:

name;
email address;
telephone number;
billing address;
delivery address.

ODIS is not responsible for delivery problems caused by incorrect or incomplete information supplied by the customer, except where required by law.

9. PAYMENTS

Payments are processed through third-party payment providers available at checkout.

Available payment methods may vary depending on:

your country;
device;
currency;
selected market;
payment provider availability.

Payment must be successfully authorized before an order can be processed.

We do not normally store complete payment card details.

10. SHIPPING AND DELIVERY

Orders are shipped using the carrier or logistics provider considered appropriate for the destination and service selected.

Estimated delivery times are:

24–72 business hours

Europe
3–7 business days

Rest of the world
5–10 business days

Delivery times are estimates and may be affected by circumstances outside our reasonable control, including:

customs procedures;
carrier delays;
public holidays;
adverse weather;
high-demand periods;
incorrect delivery information.

11. CUSTOMS, DUTIES AND IMPORT TAXES

International orders may be subject to customs duties, import taxes, handling charges or other fees imposed by the destination country.

Unless otherwise stated at checkout, such charges are the responsibility of the customer.

ODIS does not control customs authorities and cannot predict the exact amount of any customs or import charges.

Customers are responsible for complying with applicable import requirements in their destination country.

12. RIGHT OF WITHDRAWAL AND RETURNS

Where applicable under consumer law, customers purchasing online may have a legal right to withdraw from their purchase within the statutory withdrawal period.

ODIS currently accepts eligible return requests within 15 natural days after receipt of the order, subject to the conditions set out in our Refund Policy.

Returned items must generally be:

unworn;
unused;
in their original condition;
with all tags attached;
returned in the original packaging where applicable.

Certain products may be excluded from returns where permitted by law, including certain personalized or custom-made products.

Return shipping costs are the responsibility of the customer unless:

ODIS expressly agrees otherwise;
the item received is defective;
the item is damaged;
the wrong item was supplied;
applicable law requires ODIS to bear the cost.

Depending on the customer's location, ODIS may provide a return label, arrange collection, provide a drop-off method or give alternative return instructions.

Where ODIS arranges a paid return shipment on the customer's behalf, the relevant return shipping cost may be deducted from the refund where permitted.

13. DEFECTIVE, DAMAGED OR INCORRECT PRODUCTS

Please inspect your order after delivery.

If an item is defective, damaged or incorrect, contact us as soon as reasonably possible at contact@odis.es, including relevant details and photographs where appropriate.

Where the product is defective or does not conform to the contract, your statutory consumer rights apply.

Nothing in these Terms limits any mandatory legal guarantee or remedy available to consumers.

EU consumer rules provide legal remedies for goods that are faulty or do not conform to what was advertised.

14. EXCHANGES

Unless otherwise stated, we do not guarantee direct exchanges.

The recommended procedure is generally to:

request a return for the original product; and
place a new order for the desired product or size.

This allows the replacement product to be secured as quickly as possible.

15. REFUNDS

Once a returned item has been received and inspected, we will notify you whether the refund has been approved.

Approved refunds will be issued to the original payment method, subject to applicable law.

Processing times after a refund has been issued may vary depending on the customer's bank, card issuer or payment provider.

Where permitted and previously disclosed, applicable return shipping costs may be deducted from the refund.

16. PROMOTIONS AND DISCOUNT CODES

Promotions, offers and discount codes may be subject to additional conditions.

Unless otherwise stated:

discount codes cannot be exchanged for cash;
promotions may have expiry dates;
codes may be limited to specific products, collections or customers;
multiple discounts may not be combinable;
promotions may be withdrawn or corrected where an obvious error has occurred.

Mandatory consumer rights remain unaffected.

17. INTELLECTUAL PROPERTY

All content appearing on the ODIS website, including but not limited to:

trademarks;
logos;
photographs;
videos;
graphics;
artwork;
product designs;
text;
layout;
branding;
software elements;

is owned by or licensed to ODIS and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publish, sell, exploit or use such content for commercial purposes without prior written authorization.

The name ODIS, its logos and other distinctive brand elements may not be used without permission.

18. USER CONTENT AND FEEDBACK

If you voluntarily submit reviews, comments, photographs, feedback or other content to us, you confirm that:

you have the right to submit it;
it does not infringe third-party rights;
it is not unlawful, abusive or misleading.

Where you provide content specifically for publication or promotional use, you grant ODIS the rights reasonably necessary to use that content for the agreed or reasonably expected purpose, subject to applicable law.

We reserve the right to remove unlawful or inappropriate content from platforms under our control.

19. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to or integrations with third-party services, including payment, social media, analytics or other technology providers.

ODIS is not responsible for the independent content, terms or privacy practices of third-party websites or services.

Your use of third-party services may be governed by their own terms and policies.

20. PRIVACY

The processing of personal data through our website is governed by our Privacy Policy and Cookie Policy.

Please review those policies for information about how we collect, use and protect personal data.

21. WEBSITE AVAILABILITY

We aim to maintain the website and its services in good working order, but we do not guarantee uninterrupted or error-free availability.

We may temporarily suspend access for:

maintenance;
technical updates;
security reasons;
circumstances outside our reasonable control.

Nothing in this section excludes liability that cannot lawfully be excluded.

22. ERRORS AND INACCURACIES

From time to time, the website may contain typographical, pricing, availability or other errors.

We reserve the right to correct obvious errors and update information.

Where an error affects an order already placed, we will act in accordance with applicable consumer law and contact the customer where necessary.

23. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

In particular, nothing in these Terms limits mandatory consumer rights or liability that cannot be excluded under applicable law.

To the extent permitted by law, ODIS will not be responsible for indirect or unforeseeable losses arising from use of the website or purchase of products where such losses were not reasonably foreseeable at the time the contract was entered into.

ODIS will not be responsible for losses caused solely by circumstances outside our reasonable control, subject always to applicable law.

This replaces the much broader Shopify-template exclusion currently in your policy, which attempts to disclaim essentially all direct, indirect, incidental and consequential damages.

24. PROHIBITED USES

You may not use the website:

for unlawful purposes;
to violate intellectual property rights;
to transmit malicious software;
to attempt unauthorized access;
to collect personal information unlawfully;
to impersonate another person;
to interfere with website security;
to conduct fraudulent activity;
to distribute spam or malicious communications.

We may restrict access where reasonably necessary in response to prohibited use.

25. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.

26. WAIVER

If ODIS does not immediately exercise or enforce a right under these Terms, this does not constitute a waiver of that right.

27. GOVERNING LAW

These Terms and any contract formed through the ODIS website are governed by the laws of Spain, without prejudice to any mandatory consumer protection rules that may apply to customers residing in another jurisdiction.

Nothing in this clause deprives consumers of protections that cannot lawfully be waived.
